Terms of Service
These terms govern your use of winfolio.com and any system built or operated by Winfolio FZE on your behalf. By engaging us or using our services you agree to them.
Scope of work
Each engagement is governed by a signed Statement of Work or Sprint Agreement that defines the scope, deliverables, timeline, and fees. These terms apply in addition; the Sprint Agreement controls if there is any conflict.
Fees and payment
Sprint fees are fixed and quoted in the currency stated on the Sprint Agreement. Unless otherwise agreed, 50% is invoiced at kick-off and 50% on handover. Invoices are due on receipt; late payment may pause work and accrues 1.5% per month.
Scope changes
Requests that fall outside the locked Sprint scope are documented and quoted as a follow-up sprint. We do not absorb scope changes into the active sprint.
Intellectual property
On full payment, you own the deliverables produced for you, including source code and design files. We retain ownership of pre-existing tools, frameworks, and internal libraries, and grant you a perpetual licence to use them as embedded in the deliverables.
Confidentiality
We treat your business information as confidential and use it only to perform the engagement. You agree to do the same with our proposals, pricing, and internal methods.
Warranties
We warrant that the deliverables will substantially conform to the agreed scope at handover. For 30 days after handover we will fix defects in the original scope at no charge. Beyond that, fixes and changes are quoted as a follow-up engagement.
Liability
To the maximum extent permitted by law, our total liability under any engagement is capped at the fees paid for that engagement. We are not liable for indirect, incidental, or consequential damages.
Termination
Either party may terminate an engagement for material breach not cured within 14 days of written notice. Fees for work completed up to the termination date remain due.
Governing law
These terms are governed by the laws of the United Arab Emirates. Disputes are subject to the exclusive jurisdiction of the DIFC courts.
